1. Acceptance of terms
By accessing or using the Staxra website and services ("Services"), you agree to these Terms of Service. If you do not agree, do not use the Services.
2. What Staxra is
Staxra is a financing brokerage. We are not a direct lender. We connect e-commerce brands with third-party lender partners that may offer revenue-based financing, inventory financing, or working capital. Any funding offer, agreement, or repayment terms are between you and the lender.
3. Eligibility
Staxra's Services are available only to businesses based in the United States. To use the Services you must (a) represent a business legally organized and operating in the United States, (b) be at least 18 years old, and (c) be authorized to act on behalf of that business. You agree the information you provide is accurate and complete.
4. Accounts
You are responsible for keeping your login credentials confidential and for all activity on your account. Notify us promptly of any unauthorized use.
5. No guarantee of funding
Submitting an application does not guarantee that you will receive a funding offer. Approval, amount, and terms are determined by lender partners based on their own underwriting criteria.
6. Acceptable use
You agree not to misuse the Services, including by attempting to gain unauthorized access, submitting false information, interfering with the Services, or using them for any unlawful purpose.
7. Intellectual property
The Staxra website, including its content, logos, and trademarks, is owned by Staxra or its licensors and is protected by intellectual property laws. You may not copy, modify, or distribute any part of the Services without our written permission.
8. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, express or implied. Staxra does not provide legal, tax, or financial advice.
9. Limitation of liability
To the maximum extent permitted by law, Staxra is not liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Services. Our total liability for any claim related to the Services will not exceed one hundred dollars (US$100).
10. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, including for violation of these Terms.
11. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Delaware.
12. Changes
We may update these Terms from time to time. Continued use of the Services after the changes take effect constitutes your acceptance.
